Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Throughline, an AI-native sell-side M&A platform operated by AnthropyAI, LLC (“AnthropyAI,” “we,” “us”) and built on the Spawn platform. By accessing or using Throughline, you agree to these Terms.
The service
Throughline helps sell-side advisors and the operators they represent run an M&A engagement — readiness assessment, document generation (including Confidential Information Memoranda), buyer management, a virtual data room, and confidentiality-aware outreach. Throughline drafts work product using AI; a human reviews and approves every external action before it is sent or published.
Accounts and eligibility
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. The service is for business use by authorized advisors and their invited collaborators. You may not share access outside your authorized organization.
Connected services
You may connect third-party services (such as QuickBooks, Xero, or LinkedIn). You authorize Throughline to access the data needed to provide the service, and you represent that you have the right to grant that access. Your use of those services remains subject to their own terms. You may disconnect a service at any time.
Acceptable use
- Use Throughline only for lawful purposes and in compliance with applicable securities, privacy, and confidentiality obligations.
- Do not misuse the platform, attempt to breach its security or isolation, or upload content you are not authorized to share.
- You are responsible for reviewing and approving AI-drafted output before relying on or distributing it.
Confidentiality and your data
Your deal data and connected-service data are handled as described in our Privacy Policy. As between you and us, you retain ownership of the content you provide. You grant us a limited license to process that content solely to operate and provide the service to you.
Intellectual property
Throughline, Spawn, and all related software, designs, and trademarks are owned by AnthropyAI, LLC. These Terms do not transfer any ownership in our intellectual property.
AI-generated output
AI output may contain errors and must be reviewed by you. Throughline is a drafting and workflow tool, not legal, financial, tax, or investment advice. You are solely responsible for any decision made or document distributed based on the output.
Disclaimers and limitation of liability
The service is provided “as is,” without warranties of any kind to the maximum extent permitted by law. To the maximum extent permitted by law, AnthropyAI, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, and our total liability for any claim is limited to the amounts you paid for the service in the twelve months preceding the claim.
Termination
You may stop using Throughline at any time. We may suspend or terminate access for violation of these Terms or to protect the platform. On termination you may request export or deletion of your data per the Privacy Policy.
Governing law and changes
These Terms are governed by the laws applicable to AnthropyAI, LLC, without regard to conflict-of-laws rules. We may update these Terms; material changes will be reflected by the “Effective” date above and, where appropriate, communicated to you. Continued use after changes constitutes acceptance.
